SITE LICENSE AGREEMENT:

LIMITED NON-COMMERCIAL LICENSE TO USE SITE
THE QUIXELVIDEO.COM AND THE INVISIONTEK.COM SITE ("THIS SERVICE") IS INTENDED FOR LAWFUL PURPOSES ONLY.

inVision Tek hereby grants you the limited right to view and use the Site only for the purposes of viewing, playing, shopping, or purchasing content such as software, videos, animations, documents, or other media content on this site. inVision Tek reserves the right to suspend or deny, in its sole discretion, your access to all or any portion of the Site. This license is limited to personal and non-commercial uses by you. Any rights not expressly granted to you herein are reserved to inVision Tek. No portion of this Site is targeted to children, and any minor should seek consent of his or her legal guardian before using this site. Unless you have received specific written permission from inVision Tek, you may not (a) "frame" or otherwise impose editorial comment, commercial material or any information or content on, or in proximity to, content displayed on the Site; (b) alter or modify any content on the Site; or (c) deep link to any portion of the Site.

Without limiting other restrictions, you agree not to reproduce, republish, transmit, sell, or otherwise exploit the Site, Applications, or Content for any commercial purpose. PRODUCT TERMS OF USE AND CONDITIONS (AGREEMENT):

This End User License Agreement below applies to all products produced, supplied, and distributed by inVision Tek (Quixel Video). For additional information, please contact us.

QUIXEL VIDEO TRAINING PRODUCT LICENSE AGREEMENT
YOU SHOULD CAREFULLY READ THE FOLLOWING TERMS AND CONDITIONS BEFORE INSTALLING OR USING QUIXEL VIDEO SOFTWARE AND MATERIAL. INSTALLING THIS PRODUCT INDICATES YOUR ACCEPTANCE OF THESE TERMS AND CONDITIONS.

YOU ALSO AGREE TO REVIEW THIS AGREEMENT PERIODICALLY IN ORDER TO BE AWARE OF ANY MODIFICATIONS TO THIS AGREEMENT. INVISION TEK OHG (QUIXEL VIDEO) MAY MAKE CHANGES TO THIS AGREEMENT FROM TIME-TO-TIME AND AT ANY TIME, AND RESERVES THE RIGHT TO DO SO. INSTALLING, USING, CONTINUED USE OR ANY OTHER USE OF THIS SITE OR SOFTWARE IS DEEMED YOUR ACCEPTANCE OF THIS AGREEMENT OR ANY MODIFICATIONS TO THIS AGREEMENT.

YOU MAY NOT USE, COPY, MODIFY, OR TRANSFER THE SOFTWARE OR MATERIAL, OR ANY COPY OR MODIFICATION, IN WHOLE OR IN PART, EXCEPT AS EXPRESSLY PROVIDED FOR IN THIS LICENSE. IF YOU TRANSFER POSSESSION OF ANY COPY OR MODIFICATION OF THE SOFTWARE OR MATERIAL TO ANOTHER PARTY, YOUR LICENSE IS AUTOMATICALLY TERMINATED.

inVision Tek (Quixel Video) provides this product, consisting of the software application, video training files and, where applicable, project files ("Software") and licenses its use worldwide.

DEFINITIONS:
- "Quixel Video", "quixelvideo.com", "invisiontek.com", or "inVision Tek" refer to inVision Tek OHG.
- "You" refers to the user or subscriber.
- "Site"refers to the quixelvideo.com site and associated servers.
- "Software" refers to the Quixel Video content, including: videos, movies, animations, scripts, programs, graphics, audio, data, applications, projects, documents, and other related material.
- "Products" refer to products produced and/or sold by inVision Tek.
- "Agreement" refers to the terms and conditions of use agreement.
- "Terms" refers to the terms and conditions of use found within this Agreement.
LICENSE: inVision Tek OHG hereby grants you non-exclusive, non-commercial, worldwide license to use the software and the site associated with this software according to the guidelines contained in this Agreement.

You May:
- Use the Software on a single machine;
- Copy the Software into any machine readable form for backup
  purposes in support of your use of the Software on the single machine;
- You must reproduce and include the copyright notice on any copy;

RESTRICTIONS

Transfer this license to a third party;
Modify, disassemble, reverse engineer, or adapt the Software;
Delete or modify any legal notices, author attributions, or any other proprietary information in the Software;
Violate or breech inVision Tek OHG security features or mechanisms, or access or corrupt any data, document, or server that you are not authorized to access;
Transmit any material that contains a virus, trojan, malware, spyware, SPAM, or any other corrupt data;

BREACH: inVision Tek reserves the right to terminate this agreement at any time, at its sole discretion without notice to you, if it believes that you have breached or may breach any term or condition contained within this Agreement. Any illegal activity, including piracy, or any unethical breach of services may subject you to legal action from inVision Tek.
UPDATES: inVision Tek reserves the right to modify the content or features of this Site or the Software at any time and at its sole discretion. Posts on these changes to the Site or Software may be made on the Site within your account settings or other documents on the Site.
COPYRIGHT AND PROPERTY RIGHTS: The Quixel Video online training library and the Quixel Video website are owned and operated by inVision Tek OHG. All rights are reserved. All of the content of this site are the property of inVision Tek OHG, unless otherwise specified. Modification and/or distribution of the contents of this Site is strictly prohibited. No content from this Site or Software may be copied, republished, reproduced, transferred, downloaded, uploaded, or distributed in any way. inVision Tek retains all worldwide rights to its intellectual property, including, but not limited to all its content, trademarks, registered trademarks, trade secrets, ideas, inventions, and the “look and feel” of the Site and Software (including: color combinations, layout, and all other graphical elements and programming code).

Any violation of this Agreement or other legal documents associated with this Site, Software, or Products is a violation of U.S. and international copyright law or other intellectual property laws.
TERMINATION: This Agreement will automatically terminate if you fail to comply with the restrictions, terms or conditions of this Agreement. You are obligated to pay any outstanding subscription fees that survive the termination of this Agreement.
LIMITED WARRANTY: inVision Tek warrants that the Software will achieve the functionality described if the Software and the Site are used as directed, and warrants that the Software is free from defects at the time of purchase and delivery. The warranty is immediately terminated if you violate any terms or conditions of this Agreement or if any changes have been made to the Software outside of the care of inVision Tek.

inVision Tek's sole liability within this warranty are to replace or update your defective Software or media, describe to you how to change settings of the Software or your computer to achieve proper functionality, or to refund the subscription fee in cases where the remedies are inadequate or impractical. You must inform inVision Tek of any problems or defects in the Software or Site right away. inVision Tek will make every reasonable effort to advise, repair, replace, or refund within 30 days of being notified; however most (if not all) support issues are responded to and remedied within a day or two of being reported. The 30 day buffer is for legal purposes.

INVISION TEK MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED.

LIMITATION OF LIABILITY: UNDER NO CIRCUMSTANCES, CONTRACT OR AGREEMENT SHALL INVISION TEK OHG OR ITS RESELLERS, AFFILIATES, PARTNERS, SUPPLIERS OR DISTRIBUTERS BE LIABLE TO YOU OR ANY OTHER PERSON FOR ANY INDIRECT OR CONSEQUENTIAL DAMAGES IN ANY WAY, INCLUDING WITHOUT LIMITATION: DAMAGES FOR LOSS OF GOODWILL, WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, OR ANY AND ALL OTHER COMMERCIAL OR NON-COMMERCIAL DAMAGES OR LOSSES.

ANY CONTENT THAT YOU DOWNLOAD OR USE IS AT YOUR OWN SOLE DISCRETION. YOUR USE OF THIS SITE OR SOFTWARE IS AT YOUR SOLE RISK. IN NO EVENT WILL INVISION TEK BE LIABLE FOR ANY DAMAGES.
PRIVACY: inVision Tek respects and pledges to protect your privacy consistent with this Site’s posted Privacy Policy. Please see the posted Privacy Policy at the quixelvideo.com Privacy Policy for more information. inVision Tek actively monitors the Site and Software usage for pirates, hackers, and other abusers.

GENERAL: You may not sublicense, assign or transfer this license. Any attempt to sublicense, assign or transfer any of the rights, duties or obligations of this Agreement is void.
PROJECT FILES: You may only use the project files for training purposes and for absolutely no other purpose whatsoever. You have no rights whatsoever to any project file, software, or material contained within the software or media. You hereby acknowledge and agree that any project files included with the Software or Site are owned exclusively by inVision Tek OHG and/or its third party individuals or companies.
YOU ACKNOWLEDGE AND THAT YOU HAVE READ THIS ENTIRE AGREEMENT, UNDERSTAND IT AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS. YOU FURTHER AGREE THAT IT IS THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN US AND SUPERSEDES ANY PRIOR AGREEMENT OR PROPOSAL, ORAL OR WRITTEN, AND ANY OTHER COMMUNICATIONS BETWEEN US RELATING TO THE SUBJECT MATTER OF THIS AGREEMENT.
